Terms & Conditions
Conditions Of Sale
1 Definitions and interpretation
1.1 Definitions
Buyer means the purchaser of the Goods, whose details are set out in the invoice or who places an order via the Seller’s website or other sales channels.
Goods means the products supplied by the Seller and, if any, services specified in the invoice.
Seller means Stepz (ABN 38 624 027 112) whose details are set out in the invoice.
1.2 Interpretation
Nothing in these conditions excludes, restricts or modifies, or has the effect of excluding, restricting or modifying any condition, warranty, guarantee, right or remedy implied by law (including the Competition and Consumer Act 2010 (Cth)) and which by law cannot be excluded, restricted or modified.
These Terms apply to all sales including website purchases, direct sales, dealer sales and wholesale transactions.
2 General
These conditions (which will only be waived in writing signed by the Seller and Buyer) will prevail over all conditions of the Buyer's order, to the extent of any inconsistency.
3 Terms of sale
The Goods and all other products sold by Seller are sold on these terms and conditions.
The Buyer acknowledges that the Return Policy and Product Warranty available on the Seller’s website form part of these Terms.
4 Drawings, etc
(a) All specifications, drawings, and particulars of weights and dimensions submitted to the Seller are approximate only and any deviation from any of these things does not vitiate any contract with the Seller or form grounds for any claim against the Seller.
(b) The descriptions, illustrations and performances contained in catalogues, price lists and other advertising matter do not form part of the contract of sale of the Goods or of the description applied to the Goods.
(c) If custom adapter plates or made-to-order items are supplied, they are manufactured based on information provided by the Buyer, and the Buyer is responsible for ensuring specifications are correct. Custom items are non-returnable unless defective.
5 Product Use & Safety Guidelines
(a) The Buyer acknowledges and agrees to comply with all installation and safety instructions provided by the Seller regarding the use of the Goods.
(b) The recommended maximum weight limit for the Goods is 120kg. Exceeding this weight limit voids any warranty and may void liability coverage to the extent permitted by law.
(c) When using the Goods, the Buyer must maintain three points of contact at all times to minimise the risk of injury.
(d) The Buyer acknowledges that the Goods are intended for use in outdoor environments, including boat ramps and other varying conditions. The Buyer is responsible for assessing each environment for safe use and accepts that conditions may differ. The Seller is not liable for injuries, damage, or incidents resulting from use in unsafe or unsuitable environments beyond the Seller’s control.
(e) The Buyer is responsible for conducting safety inspections after initial installation and after first use, and then every 3 months, including checking bolts, fasteners, and all components.
(f) By purchasing the Goods, the Buyer acknowledges that use of the Goods is at their own risk. The Seller is not liable for injury, loss, or damage arising from misuse, negligence, failure to follow safety instructions, improper installation, modification, or environmental conditions beyond the Seller’s control.
(g) The Buyer acknowledges they are physically capable of safely using the Goods. The Seller is not liable for injuries arising from use by individuals unable to safely balance, climb, or descend.
(h) The Goods must not be used while the trailer or vehicle is moving.
(i) If the Goods are removed for towing or storage, they must be correctly reinstalled prior to use.
6 Performance
Any performance figures given by the Seller are estimates only. The Seller is under no liability for damages for failure of the Goods to attain such figures unless specifically guaranteed in writing. Any such written guarantees are subject to the recognised tolerances applicable to such figures.
7 Delivery, Risk and Transit Issues
(a) Delivery timeframes are estimates only.
(b) The Seller will arrange delivery to the address provided.
(c) Risk passes upon delivery to the nominated address.
(d) If goods are authorised to be left unattended, delivery occurs when recorded by the carrier.
(e) The Buyer must inspect the Goods upon delivery and notify the Seller in writing within 5 days of delivery of any shortage, incorrect supply, missing items, or transit damage. Supporting photographs must be provided.
(f) Where goods are lost or damaged in transit prior to delivery, the Seller will liaise with the carrier and arrange replacement or resolution as appropriate.
(g) The Seller is not liable for loss or damage occurring after delivery.
8 Warranty
The Goods are supplied with a 12-month limited warranty against manufacturing defects, as set out in the Stepz Product Warranty available on the Seller’s website.
The Product Warranty forms part of these Terms.
Nothing in these Terms limits any rights available under the Australian Consumer Law.
9 Commercial Transactions
This clause applies only to commercial, wholesale, or dealer transactions and does not apply to consumer purchases.
Where the Buyer acquires the Goods for the purpose of resale or business use, the Seller’s liability under section 274 of the Australian Consumer Law is limited, to the extent permitted by law, to the lowest of:
(a) the cost of replacing the Goods;
(b) the cost of obtaining equivalent goods; or
(c) the cost of having the Goods repaired.
Nothing in this clause limits or excludes any rights that cannot be limited or excluded under the Australian Consumer Law.
10 Prices
(a) Unless otherwise stated all prices quoted by vendor are inclusive of Goods and Services Tax (GST).
(b) Prices displayed at checkout are final at the time of purchase.
(c) For dealer or wholesale orders, pricing is as agreed in writing.
(d) The Seller reserves the right to correct pricing errors prior to dispatch.
11 Payment
(a) The purchase price for the Goods plus GST where applicable is payable at the time of purchase unless otherwise agreed in writing.
(b) The Buyer must pay interest on any outstanding amount not paid by Payment Due Date. Interest will be calculated on the rate specified in section 2 of the Penalty Interest Rates Act 1983 (Vic).
12 Rights in relation to Goods
(a) The Seller reserves the following rights in relation to the Goods until all accounts owed by the Buyer to the Seller are fully paid:
(i) ownership of the Goods;
(ii) to enter the Buyer's premises (or the premises of any associated company or agent where the Goods are located) without liability for trespass or any resulting damage and retake possession of the Goods; and
(iii) subject to, and in accordance with, the Personal Property Securities Act 2009 (Cth), to keep or resell any Goods repossessed in accordance with these Terms.
(b) If the Goods are resold, or products manufactured using the Goods are sold, by the Buyer, the Buyer will hold such part of the proceeds of any such sale as represents the invoice price of the Goods sold or used in the manufacture of the Goods sold in a separate identifiable account. This will be held the beneficial property of the Seller and the Buyer will pay such amount to the Seller upon request. Despite the provisions above, the Seller will be entitled to maintain an action against the Buyer for the purchase price and the risk of the Goods shall pass to the Buyer upon delivery.
This clause applies to commercial and wholesale transactions only.
13 Returned Goods
Returns are handled in accordance with the Seller’s Return Policy available on the Seller’s website.
14 Goods sold
All Goods to be supplied by the Seller to the Buyer are as described on the purchase order agreed by the Seller and the Buyer and the description on such purchase order as so agreed prevails over all other descriptions of the Goods including any specification or enquiry of the Buyer.
15 Cancellation
No order may be cancelled by the Buyer except with the written consent of the Seller. If there is a cancellation of the order by the Buyer, the Seller has the right to claim indemnity against all losses suffered by the Seller as a result of such cancellation.
For consumer purchases, cancellation and refund rights are subject to the Return Policy and Australian Consumer Law.
16 Termination
(a) In the absence of any breach of this agreement, either party may terminate this agreement in its absolute discretion with a minimum of 7 days’ written notice to the other party.
(b) This agreement will automatically terminate if a party enters into any composition or arrangement with its creditors or has a receiver appointed over any of its assets or is the subject of any resolution or petition for winding up or judicial management (other than for amalgamation or reconstruction).
(c) Either party may terminate this agreement if the other party is in material breach of any of its obligations under this agreement and if the breach is capable of remedy fails to remedy the breach for a period of 7 days after receipt of a written notice by the other party requiring rectification of the breach.
(d) Exercise of the right of termination afforded to either party under this clause will not prejudice the legal rights or remedies which either party may have against the other in respect of a breach of any term, condition or warranty of this agreement.
(e) The obligations of the parties that by their nature could be reasonably construed as being intended to continue to apply beyond the termination of this agreement will continue to apply.
This clause applies to dealer or wholesale supply arrangements only.
Retail one-off purchases are not subject to ongoing termination rights.
17 Place of contract
This agreement shall be governed by and construed in accordance with Victorian law. The parties submit to the non-exclusive jurisdiction of the courts and tribunals of the governing law jurisdiction. Nothing in this clause is intended to undermine the jurisdiction of the Federal Court of Australia or Federal Circuit and Family Court of Australia.
